The exact place is part of the agreement

State the rule, named place or port and edition, for example “FCA [precise address], Incoterms® 2020.” Also agree on price, payment, ownership and commercial terms in the contract.

  • Distinguish who pays for transport from where risk transfers.
  • Check who can handle export and import clearance.
  • Identify loading, unloading, insurance and terminal costs that need clarification.

Three conversations before signing

Illustrative examples for reviewing a sale; the final choice depends on the operation and contract.

  • Containerized goods handed to a carrier before vessel loading: assess FCA and the delivery point.
  • A price includes freight to destination: confirm risk transfer; paying to destination does not always mean bearing risk until arrival.
  • Warehouse delivery: distinguish unloading and import clearance and payment responsibilities before comparing DAP, DPU or DDP.
